Version 3.0 of 30 September 2026. It replaces version 2.2 of 25 April 2026. It applies to each Customer as soon as it is accepted in the Software and, at the latest, on 31 October 2026, in accordance with the 30-day notice provided for by version 2.2.

## Preamble

These Terms of Use (the "Terms") govern the use of the StrucTime Gestion software, published by AEON SYSTEMS, a simplified joint-stock company (SAS) with a share capital of €5,000, registered with the Saintes Trade and Companies Register under number 993 102 821, whose registered office is at 10 rue de Touvent, 17120 Boutenac-Touvent, France, VAT FR35993102821, represented by its president Mathis Gaschard, publication director (the "Publisher"). By accessing the Software, the User accepts these Terms.

## Article 1. Definitions

- **Software** : the StrucTime Gestion software, accessible at structime.app, its subdomains and its mobile applications.
- **Customer** : the legal entity or professional that has subscribed to the Software.
- **User** : any person who accesses the Software with an account opened by the Customer or by the Publisher.
- **Tenant** : the isolated workspace allocated to each Customer.
- **Services** : all the functions of the Software and the related services.
- **Data** : the information entered, imported or generated by the Customer and its Users in the Software.
- **Customer Content** : the Data and the documents, templates, logos and settings specific to the Customer.
- **Specific Development** : a function built at a Customer's request on the basis of a quote.
- **Suggestions** : the ideas, remarks, requests for changes or modules and descriptions of needs communicated to the Publisher, in any form.

## Article 2. Purpose and contractual documents

These Terms set out the conditions of access to and use of the Software. They apply together with the Publisher's General Terms of Sale and Services, the accepted quote, any specific terms and the data processing agreement. In the event of a conflict, the order of precedence is: specific terms, quote, General Terms of Sale, Terms of Use.

## Article 3. Access to the Software

3.1 The Software is reserved for professionals acting in the course of their business. It is not intended for consumers. The User must be of legal age and have the capacity to enter into commitments.

3.2 Access requires an Internet connection, an up-to-date browser or phone operating system, and acceptance of the cookies required for operation. Some mobile functions work without a network and synchronise when the connection returns.

## Article 4. Services and changes to the Software

4.1 The Software brings together management modules for businesses, particularly in construction: human resources, scheduling, time tracking, service calls, orders and sites, fleet, stock, purchasing, customer relations, quotes, invoicing, accounting, documents and signature. The Customer activates the modules it needs from the marketplace of its Tenant, within the limits of its subscription.

4.2 The Publisher develops the Software: fixes, improvements, new functions. It may withdraw a standard function after informing the Customers concerned at least three months in advance; a Customer using it may then terminate its subscription free of charge before the withdrawal.

4.3 As long as the Customer's subscription is running and paid, the Publisher keeps in working order the Specific Developments put into service for it, under the conditions of the General Terms of Sale.

4.4 A function presented as being under test is provided without warranty and may be changed or withdrawn at any time.

## Article 5. Accounts and access rights

5.1 The Customer opens the accounts of the members of its organisation and sets their rights, module by module (no access, read, write, administration). The Customer's manager has all rights over its Tenant.

5.2 Each User provides accurate information, keeps their credentials confidential and informs the Publisher without delay of any unauthorised use of their account. The Customer is responsible for actions carried out with the accounts of its Tenant.

## Article 6. User obligations

The User undertakes to:

- use the Software in accordance with its purpose, these Terms and the law;
- not undermine the security or operation of the Software, nor attempt to access another Customer's data;
- not copy, decompile, disassemble or analyse the Software in order to reconstruct its code, except in the cases provided for by Article L. 122-6-1 of the French Intellectual Property Code;
- not extract data from the Software by automated means other than the exports and interfaces provided by the Publisher;
- not use the Software, its documentation or its screens to design or have designed a competing product;
- ensure that the Data they enter is lawful and respect the rights of third parties.

Any serious breach may lead to the suspension or termination of the account, without prejudice to any damages the Publisher may claim.

## Article 7. Personal data

7.1 The Customer is responsible for the processing of personal data it carries out with the Software. The Publisher acts as a processor within the meaning of Article 28 of the GDPR, under the conditions of the data processing agreement, which describes the security measures implemented.

7.2 Data is hosted in the European Union and backed up every day.

7.3 Data subjects exercise their rights with the Customer. The Publisher assists it under the conditions of the data processing agreement. Contact: dpo@aeon-systems.fr.

7.4 Data remains available for export during the subscription and for 30 days after it ends. It is then deleted or anonymised, subject to the retention periods required by law, in particular for invoices and payslips.

## Article 8. Intellectual property

8.1 The Software, its architecture, code, interfaces, texts, templates, libraries, documentation, trademarks and logos, including Specific Developments and the elements created from Customers' requests, are the exclusive property of the Publisher or its licensors.

8.2 The Publisher grants the Customer a non-exclusive, non-assignable and non-transferable right to use the Software, for the term of the subscription, limited to its internal professional use. No source code is provided.

8.3 Customer Content remains the Customer's property. The Customer authorises the Publisher to host, reproduce and process it in order to provide the Services, for the term of the subscription and during the export period that follows.

8.4 Suggestions are provided freely. Ideas, methods, processes and functions are not subject to any exclusive right, and communicating them confers neither any right over the Software nor the status of co-author. The Publisher may use, develop, integrate them into the Software and market them to any customer, without any obligation of confidentiality and without consideration.

8.5 Where a Suggestion contains an element protectable by copyright, such as a text, a diagram or a mock-up, the Customer grants the Publisher, as soon as it is communicated, free of charge and on a non-exclusive basis, worldwide and for the legal term of the rights, the right to reproduce, represent, adapt, translate and integrate it into the Software and its documentation, on any medium, for the purpose of their commercial exploitation. The Customer warrants that it holds the necessary rights and waives any claim or remuneration in this respect.

8.6 The Publisher may use aggregated and anonymised usage data, which identifies neither the Customer nor any person, to ensure the operation, security and improvement of the Software.

## Article 9. Artificial intelligence and third-party services

9.1 The artificial intelligence connector of the Software is only activated on the Customer's initiative; the Customer chooses the assistant used and accepts its terms. Answers produced by an artificial intelligence assistant may be inaccurate; the Customer checks them before using them. The Publisher is not liable for the processing carried out by that assistant.

9.2 Some Services rely on third-party providers, in particular for payments, sending emails and electronic invoicing. Their unavailability cannot be held against the Publisher. Where the Software connects to another software package of the Customer, the Customer warrants that this connection is permitted by its contracts with the publisher of that package.

## Article 10. Prices and payment

10.1 The subscription price is that of the accepted quote or, failing that, of the price page in force at the time of subscription.

10.2 The subscription is invoiced every month and paid by SEPA direct debit, through the Publisher's payment provider. Invoices are available in the Customer's area.

10.3 In the event of late payment, the penalties and the fixed indemnity provided for by the General Terms of Sale apply. After a formal notice that remains unanswered for 15 days, the Publisher may suspend access to the Software.

## Article 11. Term and termination

11.1 The subscription is concluded for an indefinite period, with a minimum commitment of one month, unless a commitment period is set in the quote.

11.2 The Customer may terminate at any time from its area or by writing to support. Termination takes effect at the end of the current month, or at the end of the commitment set in the quote.

11.3 The Publisher may terminate the subscription in the event of a serious breach of these Terms, non-payment after formal notice or fraudulent use, after 15 days' notice except in an emergency.

11.4 After termination, the Customer has 30 days to export its Data. Assistance with the transfer of Data to another provider may be provided on the basis of a quote.

## Article 12. Availability, maintenance and backups

12.1 The Publisher aims for Software availability of 99.5% per month, excluding scheduled maintenance, force majeure and third-party failure. This is an obligation of means.

12.2 Scheduled maintenance preferably takes place outside business hours and is announced at least 48 hours in advance. Emergency maintenance may take place without notice to fix a security flaw.

12.3 Data is backed up every day and backups are kept for 30 days. In the event of a loss attributable to the Publisher, it restores the Data from the latest available backup.

## Article 13. Support

13.1 Support is available by email at support@aeon-systems.fr and from the Software.

13.2 Target handling times, in business hours and days: 4 hours for an unavailable service, 1 day for a blocked function, 3 days for a question or request.

## Article 14. Liability

14.1 The Publisher provides the Services diligently and in accordance with good practice, under an obligation of means. Its liability is limited to direct damage caused by a proven breach. It is capped, all events combined, at the amount excluding tax of the sums paid by the Customer for the subscription during the 12 months preceding the event giving rise to the claim.

14.2 The Publisher is not liable for indirect damage, data loss caused by the Customer or a third party, interruptions caused by a third party, non-compliant use of the Software, or decisions taken by the Customer on the basis of information produced by the Software.

14.3 The Customer is responsible for the use of its Tenant and the Data it enters, and indemnifies the Publisher against any third-party claim in this respect.

## Article 15. Confidentiality

The confidentiality obligations of the General Terms of Sale apply to information exchanged in connection with the use of the Software. Suggestions are not confidential.

## Article 16. Force majeure

Neither party is liable for a failure caused by a force majeure event within the meaning of Article 1218 of the French Civil Code.

## Article 17. Changes to the Terms

The Publisher may amend these Terms. The Customer is informed of any substantial change by email or in the Software at least 30 days before it takes effect. A Customer who refuses the change may terminate its subscription before that date; continued use after that date constitutes acceptance.

## Article 18. Electronic signatures and evidence agreement

18.1 Signatures affixed in the Software are simple electronic signatures within the meaning of Article 3.10 of Regulation (EU) No 910/2014 and Article 1367 of the French Civil Code.

18.2 Each signature is associated with the signatory's email address verified by a one-time code, the timestamp recorded by the Software, the IP address, the browser identifier, the SHA-256 fingerprint of the signed document and the timestamped log of the steps.

18.3 In accordance with Article 1368 of the French Civil Code, the parties agree that these signatures, with their traceability elements, have probative value between them, including for the documents that the Customer has its own co-contractors sign with their consent, and that these elements prevail in the event of a dispute, save proof of fraud or of an attack on the integrity of the Publisher's systems.

18.4 The Customer does not use the Software for deeds that require an authentic form, a handwritten signature, or an advanced or qualified electronic signature.

18.5 Evidence is kept for ten years from the signature. The Publisher makes it available to the Customer on request.

## Article 19. Electronic invoicing and archiving

19.1 Business-to-business invoices issued from the Software are transmitted through the Publisher's partner dematerialisation platform, in the formats provided for by the regulations.

19.2 The Customer provides its tax identity accurately, activates its registration with the partner platform before any issuance and promptly corrects any rejected invoice.

19.3 Invoices issued and received through the Software are archived for ten years with their integrity fingerprint and timestamp, and can be exported by the Customer.

19.4 The partner platform is responsible for transmission between platforms and for its own compliance. The Publisher is not liable for the unavailability of an external platform or of the administration's services.

## Article 20. Governing law and disputes

These Terms are governed by French law. The parties first seek an amicable solution; the Customer sends its written complaint to the Publisher, which replies within 30 days. Failing agreement, any dispute falls within the exclusive jurisdiction of the Commercial Court of Saintes.
